What is the UTPR?

Educational overview of the Undertaxed Profits Rule (UTPR) — the backstop charging mechanism, allocation orientation, transitional considerations, and a fictional example.

Definition

The Undertaxed Profits Rule (UTPR) is a backstop charging mechanism in the GloBE Model Rules. Where low-taxed income is not fully brought into charge under QDMTT and IIR, UTPR jurisdictions may deny deductions or require an equivalent adjustment so that remaining top-up tax can be collected, allocated among UTPR jurisdictions under the applicable rules.

UTPR is not a Safe Harbour test and is not interchangeable with IIR. Domestic implementations may phrase the collection mechanism differently while aiming at equivalent outcomes.

Purpose

The purpose of UTPR is to close gaps: if no parent collects residual top-up under IIR (for example because of ownership or enactment patterns), UTPR provides a coordinated way for other implementing jurisdictions to collect that residual. Inclusive Framework materials also discuss transitional UTPR topics that can affect timing — those must be read in primary sources, not inferred from summaries.

Inputs

Typical analytical inputs include: residual top-up after QDMTT and IIR; identification of UTPR jurisdictions in the group footprint; and allocation-key ingredients used in Model Rules framing (commonly discussed in connection with employees/payroll and tangible assets located in UTPR jurisdictions). Domestic law may specify the denial-of-deduction or equivalent adjustment mechanics.

Allocation orientation (not a filing formula)

Model Rules framing allocates UTPR top-up among UTPR jurisdictions using a key based on substance factors (payroll and tangible assets) in those jurisdictions. Orientation: each UTPR jurisdiction’s share is proportional to its substance factors relative to the total substance factors of all UTPR jurisdictions in the allocation set.

Exact definitions, timing, and collection mechanisms are statute-specific. Do not invent a numeric allocation without the applicable Model Rules article, Commentary, and domestic law in front of you.

Fictional worked example

Fictional residual UTPR amount €1,000,000 after QDMTT/IIR analysis. Two UTPR jurisdictions in the group: Country X with payroll factor 60 and tangible asset factor 40 (combined illustrative key 100); Country Y with payroll factor 20 and tangible asset factor 30 (combined illustrative key 50). Total key = 150.

Illustrative shares: Country X 100/150 ≈ 66.7% → €667,000; Country Y 50/150 ≈ 33.3% → €333,000. This arithmetic is educational only — real UTPR keys, substance definitions, and collection mechanics follow Model Rules / Commentary and local law, including any transitional UTPR relief that may apply.

Review notes

Do not assume UTPR applies, does not apply, or is deferred for your group without checking Inclusive Framework guidance and advisers. Separate transitional UTPR relief analysis from permanent UTPR allocation. Keep ownership and substance extracts versioned with the residual top-up pack.
